Privacy Policy

It is the policy of Spectus Energy Limited not to divulge to any third party information provided to the Company by others through this website, either verbally by electronic means in hard copy or manuscript, without first obtaining their consent given in writing.

Confidential Information

This is the official website of SPECTUS Energy Limited (the Company) and by making a successful application for the Login facility to access the whole of the website, the Login user will be enabled to access Confidential Information concerning the Company and its intellectual property, its know-how, products and services. In consideration for providing the Login user with access to the whole of the Company's official website including the Confidential Information contained therein you must agree to enter into the terms of this Deed of Agreement to protect that Confidential Information and our Intellectual Property Rights for the sole benefit of the Company.

Under the terms of this Deed of Agreement:

The Login user agrees and undertakes to hold in perpetuity all Confidential Information in the strictest confidence and will not during or at any time in perpetuity directly or indirectly, disclose, divulge, or make unauthorised use of any of the Confidential information and you will use your best endeavours to prevent such disclosure, publication or use. Nor shall the Login user copy or permit others to use or copy Confidential Information made available by SPECTUS Energy Limited on this website, without the permission of SPECTUS Energy Limited to be given in writing by a duly authorised representative. The login user also agrees and undertakes not to infringe the Intellectual Property Rights of the Company neither, so far as is reasonably practicable, shall they facilitate or encourage others to infringe our Intellectual Property Rights. SPECTUS Energy Limited Confidential Information and Intellectual Property Rights shall remain the absolute property of SPECTUS Energy Limited and/or its successors in title, in perpetuity or until their expiration.


In the context of this Deed of Agreement:

"Confidential Information" means (i) any trade secret, customer information or other information relating to the business or goodwill of the Company; (ii) any price lists, or lists of customers and suppliers belonging to the Company; (iii) any information relating to the Company's product research and development, technical drawings, and marketing strategies; (iv) any version of any code, algorithm, programme or similar item capable of being recorded, copied or transmitted which has been originated, developed or modified by the Company; (v) any information specifically designated by the Company as "Confidential"; (vi) any information supplied to the Company by any third party to which a duty of confidentiality is owed; (vii) any information required to be treated as confidential by any legislation or professional or regulatory rule; (viii) any information possessing a quality of confidence; (ix) any information having commercial value or use in relation to the business activities of the Company; (x) any information obtained, derived or compiled from any of the above. To avoid doubt Confidential Information shall exclude any information which (a); is in the public domain at the time of disclosure to you; (b) enters the public domain after disclosure to you, except where it does so due to your breach of any obligations or any other default by you; (c) came to your knowledge other than in connection with this agreement and without restriction on disclosure; (d) you are required by law, regulation, or order of a competent authority to disclose.

"Intellectual Property Rights" means copyrights, moral rights, related rights, patents, supplementary protection certificates, petty patents, utility models, trade marks, trade names, service marks, registered designs, unregistered designs and design rights, database rights, semiconductor topography rights, plant variety rights, rights in unfair competition, rights in undisclosed or confidential information (such as know-how, trade secrets and inventions whether patentable or not, and other similar intellectual property rights whether registered or not, applications for such rights and all extensions and renewals thereof as may exist anywhere in the world.
